Account Structure & The "Supremacy" Clause
These Partner Terms of Service govern your baseline use of the platform. However, we know that every partnership is unique.
- Custom Financial Agreements: Any specific financial arrangements, revenue splits, subscription fees, or promotional credits will be outlined in a separate, written "Master Partner Agreement" or specific insertion order signed by both you and The Scene LLC.
- Order of Precedence: In the event of any direct conflict between these online Partner Terms of Service and your signed Master Partner Agreement, the terms of your specific Master Partner Agreement shall supersede and control.
Your signed Master Partner Agreement always takes precedence over these baseline terms in the event of a conflict.
Partner Intellectual Property & Content Rules
Your Partner Account allows you to upload venue logos, event flyers, and create curated playlists of local bands.
- Your IP: You retain all ownership rights to the trademarks, logos, and original promotional materials you upload. You grant The Scene LLC a non-exclusive, royalty-free license to display this content on the Service to promote your venue and events.
- Respecting Artist IP: You may not upload photographs, custom artwork, or branding belonging to an artist unless you have their explicit permission. Curating an in-app playlist of artists available on The Scene is encouraged, but you may not use an artist's likeness to falsely imply they are endorsing your venue or booked for an event without factual basis.
The "Digital-Only" Broadcast Warning (PRO Compliance)
A Partner Account is a powerful digital marketing and discovery tool. It is not a commercial broadcast license.
While you may use your Partner Account to curate playlists and promote your venue online, these Terms do not grant you the right to publicly perform, broadcast, or play the audio from The Scene within your physical, brick-and-mortar commercial space.
You remain strictly and solely responsible for securing all necessary public performance licenses (e.g., ASCAP, BMI, SESAC, GMR) required by law to play music inside your venue or over your terrestrial radio waves. You agree to indemnify and hold harmless The Scene LLC from any third-party claims arising from your failure to secure proper venue licensing.
Community Standards & Zero Tolerance
The Scene connects communities. We maintain a zero-tolerance policy for hate speech, harassment, or discriminatory practices.
If we determine that your venue or Partner Account is engaging in toxic behavior, on or off the platform, we reserve the right to immediately suspend or terminate your Partner Account to protect our artists and listeners.
Termination & Limitation of Liability
Either party may terminate the baseline Partner Account at any time, subject to any survival clauses within your bespoke Master Partner Agreement.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, The Scene LLC, its parent company CSCD LLC, and our partners are not liable for any lost profits, lost event ticket sales, server downtime, or indirect damages.
Except for obligations expressly defined in your Master Partner Agreement, our total liability arising from your use of the platform software shall not exceed $100.00 USD. These Terms are governed by the laws of the State of Oregon.
